Welcome to BenjiBot. These Terms of Service ("Terms") govern your use of the BenjiBot software application, website, and related services (collectively, the "Service") provided by Future Logic Global LLC ("Company", "we", "us", or "our"). By registering for an account, connecting your brokerage, or using the Service, you agree to be bound by these Terms.
CRITICAL NOTICE: BenjiBot is a standalone software tool. Future Logic Global LLC is a software development company, not a broker-dealer, financial institution, or Registered Investment Adviser (RIA). We do not provide financial, tax, or investment advice.
1. Nature of the Software and Service
BenjiBot is a cloud-hosted, automated software algorithm designed to interface with third-party brokerage accounts (e.g., Charles Schwab) via Application Programming Interfaces (APIs). The Service allows users to automate their own trading parameters based on pre-programmed mathematical models.
- Self-Directed Trading: You maintain full control, custody, and authority over your brokerage account. The Service acts solely as an execution tool based on the software subscription tier you select.
- No Performance Guarantees: Past performance is not indicative of future results. The Company makes no representations, warranties, or guarantees regarding the profitability or success of utilizing the Service.
2. Flat-Fee SaaS Subscription & Billing
The Service is licensed on a Software-as-a-Service (SaaS) basis. We strictly charge a flat recurring subscription fee for access to the software framework. We do not charge performance fees, profit-sharing fees, or take a percentage of your trading gains.
- Free Trial: New users are eligible for a 7-day free trial. You may cancel at any time during this period without incurring any charges.
- Subscription Tiers: Following the trial, you will be billed a flat monthly fee corresponding to your selected software tier (e.g., Starter, Growth, or Pro). Tier limits dictate the maximum capital allocation and concurrent positions the software is licensed to execute.
- Payment Processing: All payments are processed securely via third-party providers (e.g., Stripe). Subscriptions auto-renew monthly until canceled.
3. API Integration & Account Security
To function, BenjiBot requires secure API access (OAuth 2.0) to your third-party brokerage account.
- Funds Custody: Your funds never leave your Charles Schwab account. The Company does not hold, custody, or have the ability to withdraw your funds at any time.
- Data Security: You are responsible for maintaining the confidentiality of your BenjiBot login credentials. The Company utilizes encrypted tokens for trade execution but never stores your raw brokerage username, password, or security questions.
4. Assumption of Risk
Trading in financial markets carries substantial risk of loss. By using the Service, you explicitly acknowledge and accept the following:
- Market Volatility: Automated algorithms can experience rapid drawdowns during periods of extreme market volatility, flash crashes, or irregular price actions.
- Technical Failures: The Service relies on internet connectivity, cloud servers (DigitalOcean), and third-party brokerage APIs. The Company is not liable for missed trades, delayed executions, or losses resulting from server downtime, API rate limits, or brokerage outages.
5. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL FUTURE LOGIC GLOBAL LLC, ITS FOUNDERS, OR AFFILIATES BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO TRADING LOSSES, LOST PROFITS, OR DATA LOSS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE BENJIBOT SOFTWARE.
Our total cumulative liability to you for any claims arising from the use of the Service shall be limited to the total software subscription fees paid by you to the Company in the three (3) months preceding the claim.
6. Termination and Cancellation
You may cancel your subscription and revoke API access at any time via your account dashboard. The Company reserves the right to suspend or terminate your access to the Service immediately, without prior notice, if you breach any of these Terms, violate Charles Schwab API guidelines, or use the Service for any unlawful purpose.
